Terms of Service

These terms are entered into by and between you and the Company. The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms"), govern your access to and use of ELA Map, including any content, functionality, and services offered on or through elamap.com, the ELA Map connection for AI assistants, and any ELA Map mobile app, whether as a guest or a registered user. This includes reports, subscriptions, emails and notifications we send you, and any related applications or subscription services we provide (collectively, the "Services").

Please read these Terms carefully before you start to use the Services. By using the Services, purchasing any Services, or by clicking to accept or agree to these Terms where this option is made available to you, you acknowledge that you have read, understand, accept, and agree to be bound and abide by these Terms and our Privacy Policy and Cookie Notice, which are incorporated into these Terms by reference. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Services or purchase any Services.

An account stores sensitive personal data, including your birth date, birth time, and birth location, so accounts are for adults only. By creating an account or making a purchase, you represent and warrant that you are at least 18 years old and of legal age to form a binding contract with the Company. If we become aware that an account belongs to someone under 18, we will close it and delete all associated data without notice.

Some parts of the Services can be used without an account, such as browsing elamap.com as a guest and the ELA Map connection for AI assistants, which does not store the birth details it is given. If you are under 18, you may use those parts only with the permission of a parent or legal guardian, who agrees to these Terms on your behalf. The Services are not directed to children under 13, and children under 13 must not use them.

If you are using the Services on behalf of a company or organization, you represent that you have authority to act on behalf of that entity, and that such entity accepts these Terms.

We may revise and update these Terms from time to time. When we make material changes, we will notify you by email and display a notice within the app at least 30 days before the changes take effect. All other changes are effective when we post them. Your continued use of the Services after revised Terms take effect means that you accept and agree to the changes. If you do not agree to revised Terms, you may close your account before the changes take effect. You should check this page from time to time so you are aware of any changes, as they are binding on you.

We reserve the right to withdraw or amend the Services, and any service or material we provide through them, in our sole discretion. WE WILL NOT BE LIABLE IF FOR ANY REASON ALL OR ANY PART OF THE SERVICES IS UNAVAILABLE AT ANY TIME OR FOR ANY PERIOD. From time to time, we may restrict access to some parts of the Services, or all of them, to users.

You are responsible for:

• Making all arrangements necessary for you to have access to the Services.
• Ensuring that all persons who access the Services through your internet connection are aware of these Terms and comply with them.

Registration

To use most of ELA Map, you must create an account using your email address (with a password or an emailed sign-in link), or by signing in with Google or Apple. It is a condition of your use of the Services that all the information you provide is correct, current, and complete. You agree that all information you provide to us is governed by our Privacy Policy.

Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been compromised, contact us immediately at support@elamap.com.

One account per person

Accounts are personal and non-transferable. You may not share your account credentials with others or allow others to use your account.

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, graphics, images, video, and audio content, computer code, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your personal use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material in the Services, except as the Services' own features (such as sharing a chart link or image) allow. No right, title, or interest in or to the Services or any content in them is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Services not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

Our interpretation library

Our interpretation library — the written interpretations, readings, and descriptive text served throughout ELA Map — is an original literary work and a database in which Spirit River Inc. has made a substantial investment in obtaining, verifying, and presenting the contents. We assert copyright in the individual interpretations and in the library as a compilation, together with the sui generis database right under UK and EU law and equivalent rights elsewhere. Extracting or reusing a substantial part of it, or repeatedly extracting insubstantial parts, is prohibited.

No part of ELA Map may be used to train, fine-tune, ground, or evaluate a machine learning or artificial intelligence model, or to assemble a dataset for those purposes, without our express written permission. This reservation applies to text and data mining, including any reservation of rights recognized under Article 4(3) of EU Directive 2019/790 and comparable provisions.

Open source components

ELA Map may incorporate open source software components. Where applicable, the licenses for those components are honored. Nothing in these Terms limits rights granted under applicable open source licenses, including any decompilation rights afforded under the EU Software Directive (Directive 2009/24/EC, Article 6) or equivalent provisions under applicable law.

Your content

You retain ownership of any content you create in ELA Map (such as chart labels or notes you add). By using sharing features, you grant ELA Map a limited, non-exclusive license to display and transmit that content as needed to operate the sharing functionality.

Feedback

If you send us feedback or suggestions, we may use them freely without obligation to you.

The ELA Map name and logo, the Company name, and all related names, logos, product and service names, designs, and slogans (collectively, the "Trademarks") are owned by the Company or its affiliates or licensors. You must not use such Trademarks without the prior written permission of the Company, or present false or misleading impressions about the Company or otherwise damage the goodwill associated with the Company name or Trademarks.

Third-party names and marks

ELA Map is an independent product. It is not affiliated with, endorsed by, sponsored by, or licensed by Jovian Archive Media Pte. Ltd., the International Human Design School, or the estate of Ra Uru Hu. “Human Design” is used descriptively to identify the system ELA Map computes.

All other names, logos, product and service names, designs, and slogans referred to in ELA Map are the trademarks of their respective owners and are used descriptively to identify the systems, sources, or doctrines an interpretation draws on. Such use does not imply any affiliation or endorsement.

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• To send, upload, share, or use any material that does not comply with these Terms, or that is unlawful, harmful, defamatory, obscene, abusive, harassing, hateful, or violates another person’s rights (including rights of publicity and privacy).
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity, or to misrepresent your identity or affiliation.
• To harass, threaten, "stalk," or harm any person.
• For any commercial purpose not expressly permitted by these Terms.

Additionally, you agree not to:

• Use the Services in any manner that could disable, overburden, damage, or impair them or interfere with any other party’s use of them.
• Use any robot, spider, scraper, or other automatic device, process, or means to access the Services for any purpose, including monitoring, crawling, extracting, or copying any of their material.
• Use ELA Map content to train, fine-tune, ground, or evaluate any machine learning or artificial intelligence model, or to build any dataset for those purposes.
• Extract, reuse, or re-publish a substantial part of our interpretation library, or systematically extract insubstantial parts of it, whether or not you use automated tools.
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Services, another user’s account, or any server, computer, or database connected to the Services, including by a denial-of-service attack.
• Reverse-engineer, decompile, or disassemble ELA Map, except to the extent permitted by applicable law.
• Create more than one account, create an account on behalf of someone else, or create a false or misleading identity.

We have the right to:

• Take appropriate legal action, including without limitation referral to law enforcement, for any illegal or unauthorized use of the Services.
• Terminate or suspend your access to all or part of the Services for any or no reason, including without limitation any violation of these Terms, with notice where practical.

If we terminate your account without cause, we will refund any unused prepaid subscription fees on a pro-rated basis.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone using the Services. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

You can leave at any time

You can delete your account at any time from your account settings. Deletion removes your account, all saved charts (including any third-party charts), birth data, and associated content. See our Privacy Policy for retention timelines after deletion.

If you believe that anything in the Services violates your copyright, you may notify our designated copyright agent by email at legal@elamap.com. You will be asked to provide evidence of your ownership of the copyright and identification of the copyrighted work claimed to have been infringed, as well as other information reasonably requested by the copyright agent.

The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or anyone who may be informed of any of their contents.

Astrological content

This content is not medical, psychological, psychiatric, legal, or financial advice. It should not be relied upon when making significant life decisions. ELA Map makes no claims or guarantees about future events. Astrological interpretation is not a substitute for qualified professional advice in any field. Past astrological patterns are not a reliable predictor of future outcomes. Nothing in ELA Map's content is intended to diagnose, treat, cure, or prevent any medical or psychological condition.

AI-refined content

Some optional ELA Map features use third-party artificial intelligence (large language models). Daily readings and reports are compiled from our interpretation library, refined by AI, which phrases the selected material into finished written or spoken text. The map chat assistant, where offered, uses AI to answer your questions. See our Privacy Policy for what data these features send and to whom.

You should not rely on content refined or produced by AI as a statement of fact or as professional advice of any kind. We do not guarantee that such content is unique, and similar content may be generated for other users. Do not submit information about other people to the chat assistant unless you have a lawful basis to do so.

We may update the content of the Services from time to time, but their content is not necessarily complete or up to date. Any of the material in the Services may be out of date at any given time, and we are under no obligation to update such material.

All information we collect through the Services is subject to our Privacy Policy. By using the Services, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Your own chart

When you set up your birth chart, you provide personal information, including your birth date, birth time, and birth location. This information is stored securely in your account and used to power ELA Map's features.

Saving charts for other people

ELA Map allows you to save charts for people other than yourself, for example a partner, family member, or friend. When you do this, you are entering that person's personal information into our systems. By saving a third-party chart, you represent and warrant that:

• You have that person's consent, or
• You have a legitimate and lawful basis under applicable privacy law to enter their information, and
• You will delete their chart from your account if they ask you to

You are solely responsible for ensuring you have appropriate authorization before saving another person's data. Spirit River is not responsible for any claims arising from your unauthorized storage of third-party personal data.

Your notes and marks

ELA Map lets you record your own notes and marks against your own chart. You are responsible for what you enter. By entering it you confirm that it is yours to enter and that you are entering it for your personal use. We do not publish your notes, show them to other users, or combine them across accounts to build any dataset.

Sharing

ELA Map allows you to share chart views via a link or exported image. Anyone with a shared link can view that chart snapshot; no ELA Map account is required. A shared chart link or image may include the chart subject's name, birth date, birth time, and birth location, depending on the chart and your sharing settings. Before sharing a chart for another person, you are responsible for obtaining their consent.

ELA Map does not have publicly discoverable user profiles. Sharing is intentional and link-based; your charts are not browsable by other users. We make reasonable efforts to keep shared links available, but we do not guarantee their permanence. We may disable or expire shared links at any time, including where a link is being used in violation of these Terms or where we receive a valid takedown request.

Some Services incur fees ("Paid Services"). You agree to pay all fees associated with the Paid Services you choose. Any payment terms presented to you when you purchase a Paid Service form an integral part of these Terms. Where those specific payment terms and these Terms conflict and cannot be read together, the specific payment terms take precedence.

Plans and pricing

All pricing is displayed at elamap.com/pricing, which is the authoritative source. We reserve the right to update our pricing with at least 30 days' advance notice via email and a notice within the app.

• Free. A free account gives you access to a defined set of features. We reserve the right to adjust what is included in the free tier at any time, with reasonable notice where practical.
• Premium and Pro. Premium and Pro are recurring subscriptions. Premium is billed yearly. Pro gives you full access to ELA Map and is billed monthly or yearly.
• Reports. Individual reports are per-item, one-time purchases on any plan.

Founding rates. If you subscribed at a founding rate shown when you subscribed, that price is locked in for as long as you keep your subscription. Price changes do not apply to it while that subscription continues.

Payment processors

Payments are processed by third-party payment processors (the "Payment Processors"). Payments made on the web are processed by Stripe, Inc. Purchases made in the mobile app are processed by Apple (App Store) or Google (Google Play) through their own in-app purchase systems. ELA Map does not store your payment card information.

Any processing of payments is subject to the terms, conditions, and privacy policies of the applicable Payment Processor in addition to these Terms, including Stripe's terms of service and privacy policy for web purchases, and Apple's or Google's terms for purchases in the mobile app. We are not responsible for any error by, or other acts or omissions of, the Payment Processors. By choosing a Paid Service, you agree to pay, through the Payment Processor, all charges at the prices then in effect, and you authorize the Payment Processor to charge your chosen payment method. We reserve the right to correct any errors or mistakes in pricing or billing, even if payment has already been requested or received.

YOU MUST PROVIDE CURRENT, COMPLETE, AND ACCURATE BILLING INFORMATION AND PROMPTLY UPDATE IT IF IT CHANGES, AND YOU MUST PROMPTLY NOTIFY US OR THE PAYMENT PROCESSOR IF YOUR PAYMENT METHOD IS CANCELED (FOR EXAMPLE, FOR LOSS OR THEFT) OR IF YOU BECOME AWARE OF A POTENTIAL BREACH OF SECURITY.

All purchases through the Services are governed by these Terms. Paid Services must be paid in full before they are provided to you. Our Refund Policy summarizes this section in plain language; if the two conflict, this section controls.

Auto-renewal and cancellation

Your subscription renews automatically at the end of each billing cycle. We will send you a reminder before your first renewal. You can cancel at any time: for a subscription bought on the web, through your account settings; for a subscription bought in the mobile app, through your Apple or Google account (the app's account settings link there). Cancellation takes effect at the end of your current billing period, and you retain full access until then.

Refunds for Pro

If you are not satisfied with Pro, you may request a full refund within 14 days of your initial subscription payment by contacting support@elamap.com. After 14 days, subscription payments are non-refundable. Refunds are not available for renewal charges once they have been processed. If you want to avoid a renewal charge, cancel before the renewal date.

Reports

On the web you pay for each report at checkout. In the mobile app, buying a report adds a report credit to your account, which you then use to generate the report. Reports are delivered to your ELA Map account and read there; we email you a link when one is ready. Delivery is complete when the report is available in your ELA Map account or delivered to your registered email address, whichever comes first, and your acceptance of the report is deemed to occur on delivery. Reports are non-refundable once delivered. If you experience a technical failure that prevents delivery, contact support@elamap.com within 7 days of purchase.

Purchases in the mobile app

Purchases made in the mobile app are billed by Apple or Google, and refund requests for them are handled by Apple or Google under their own policies. If Apple or Google refunds a report credit you have not used, that credit is removed from your account.

If the Services contain links to other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources, and we do not endorse, sponsor, recommend, or otherwise accept any responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any third-party website linked from the Services, you do so entirely at your own risk and subject to the terms and conditions of use for that website.

These Terms shall be governed and interpreted pursuant to the laws of the State of New York, United States of America, notwithstanding any principles of conflicts of law.

Informal resolution first

Before initiating any formal proceeding, you agree to contact us at legal@elamap.com and give us 30 days to attempt to resolve the dispute informally.

Binding arbitration

All disputes arising out of or relating to these Terms, the Privacy Policy, the Services, or any other document or legal notice or agreement found in the Services shall be finally resolved by individual arbitration conducted in the English language in New York, U.S.A., under the commercial arbitration rules of the American Arbitration Association. At your election, the arbitration may take place by video or telephone. All decisions of the arbitrator shall be final and binding on both parties and enforceable in any court of competent jurisdiction.

Notwithstanding the foregoing, we shall be entitled to seek equitable relief in a court of law, and either party may bring an individual claim in small claims court if it qualifies under that court's jurisdictional rules.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. In the event of any legal action (including arbitration) to enforce or interpret these Terms, the non-prevailing party shall pay the reasonable attorneys' fees and other reasonable costs and expenses (including expert witness fees) of the prevailing party.

EU and UK consumer carve-out

If you are a consumer located in the EU or UK, nothing in this section prevents you from bringing a claim in the courts of your country of residence or exercising rights under applicable consumer protection law. EU and UK consumers are not required to submit to arbitration.

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Services will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our Services for the reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICES OR TO YOUR DOWNLOADING OF ANY MATERIAL FROM THEM OR FROM ANY WEBSITE LINKED TO THEM.

YOUR USE OF THE SERVICES AND THEIR CONTENT IS AT YOUR OWN RISK. THE SERVICES AND THEIR CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES, INCLUDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY ASTROLOGICAL CONTENT. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE SERVICES OR THEIR CONTENT WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OR CONDITION OF GOOD AND WORKMANLIKE SERVICES, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COMPLIANCE WITH ANY LAW, REGULATION, OR CODE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. If you are a consumer in a jurisdiction that does not allow the exclusion of implied warranties, some of these exclusions may not apply to you.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO THEM, OR ANY CONTENT IN THEM OR IN SUCH OTHER WEBSITES, INCLUDING ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (US $100.00) OR THE AMOUNTS PAID BY YOU TO THE COMPANY FOR THE SERVICES IN THE PAST SIX MONTHS.

YOU, ON BEHALF OF YOURSELF, YOUR PERSONAL REPRESENTATIVES, AND YOUR HEIRS, HEREBY VOLUNTARILY AGREE TO RELEASE, WAIVE, DISCHARGE, HOLD HARMLESS, DEFEND, AND INDEMNIFY THE COMPANY AND ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, REPRESENTATIVES, SUBLICENSEES, SUCCESSORS, AND ASSIGNS, FROM ANY AND ALL CLAIMS, ACTIONS, OR LOSSES FOR BODILY INJURY, PROPERTY DAMAGE, WRONGFUL DEATH, EMOTIONAL DISTRESS, LOSS OF SERVICES, OR OTHER DAMAGES OR HARM, WHETHER TO YOU OR TO THIRD PARTIES, WHICH MAY RESULT FROM YOUR USE OF THE SERVICES.

EXCEPT FOR THE REFUNDS DESCRIBED IN SECTIONS 8 AND 14, YOU UNDERSTAND AND AGREE THAT THE CANCELLATION OR TERMINATION OF YOUR ACCOUNT IS YOUR SOLE RIGHT AND REMEDY WITH RESPECT TO ANY DISPUTE WITH US, INCLUDING ANY DISPUTE RELATED TO, OR ARISING OUT OF: (I) THESE TERMS OR OUR ENFORCEMENT OR APPLICATION OF THEM; (II) ANY PRACTICE OR POLICY OF THE COMPANY, INCLUDING THESE TERMS AND OUR PRIVACY POLICY, OR OUR ENFORCEMENT OR APPLICATION OF THOSE POLICIES; (III) THE CONTENT AVAILABLE THROUGH THE SERVICES OR ANY CHANGE IN THAT CONTENT; OR (IV) YOUR ABILITY TO ACCESS OR USE THE SERVICES.

BY USING THE SERVICES, YOU AGREE THAT THE EXCLUSIONS AND LIMITATIONS OF LIABILITY SET OUT IN THESE TERMS ARE REASONABLE. IF YOU DO NOT BELIEVE THEY ARE REASONABLE, YOU MUST NOT USE THE SERVICES.

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your improper use of the Services;
• Your violation of these Terms, or your use of the Services other than as expressly authorized in these Terms;
• Your storage or sharing of third-party chart data without appropriate authorization;
• Your infringement or alleged infringement, or the infringement or use (or alleged infringement or alleged use) by any other user of your account, of any intellectual property or other right of any person or entity; or
• Your violation or alleged violation of any foreign or domestic, federal, state, or local law or regulation.

No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

These Terms, the Privacy Policy, and the Cookie Notice constitute the sole and entire agreement between you and the Company regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and the Company as a result of these Terms or your access to and use of the Services.

No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.

Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party will be liable for delays or failures caused by circumstances beyond their reasonable control, including natural disasters, government actions, or infrastructure outages.

Notices. Legal notices to Spirit River Inc. should be sent to legal@elamap.com. We will send notices to you at the email address associated with your account.

All notices of copyright infringement claims should be sent to the copyright agent set out in Section 9. All other feedback, comments, requests for technical support, and other communications relating to the Services should be directed to the addresses below.
